Terms and Conditions

1. Design Rights and Indemnification

By uploading a design to Packonic, you confirm that you own or otherwise hold all necessary rights to the submitted content (“User Content”), including any required consents from third parties. You further confirm that the User Content does not and will not infringe, misappropriate, or violate any copyright, trademark, trade secret, intellectual property, or other proprietary rights of any third party. The User Content must not be unlawful, fraudulent, threatening, abusive, hateful, libelous, defamatory, obscene, misleading, or confusingly similar to brands or branded goods sold by others.

Indemnification Clause: The buyer shall indemnify and hold Packonic harmless from any and all claims, damages, and expenses (including legal fees) arising out of any third-party claim that the User Content infringes their intellectual property rights.

2. General Terms and Conditions

These sales and usage terms (“Terms”) govern the mutual rights, obligations, and delivery conditions between the company placing an order through www.packonic.com, www.packonic.de, or www.packonic.co.uk, www.packonic.es, www.packonic.eu.

  • Merchant Status: These Terms apply exclusively to entrepreneurs within the meaning of § 14 BGB (B2B). By placing an order, the buyer confirms they are acting in a commercial or self-employed capacity.

  • Acceptance: Acceptance occurs by actively ticking the checkbox at checkout. By placing an order, the buyer gives consent to these Terms.

  • Language: In the event of discrepancies between the English and German versions of these Terms, the German version shall prevail.

3. Offer and Contract Conclusion

All offers made by Packonic are non-binding unless expressly marked as binding. A contract is only concluded upon written order confirmation or commencement of production by Packonic. Packonic retains ownership and copyright of all submitted offers, estimates, drawings, and tools. These materials may not be disclosed to third parties without Packonic’s prior written consent. For orders delivered to third parties, the ordering entity remains the primary contractual party. For customers acting as traders or self-employed persons, the right of withdrawal does not apply according to § 312g para. 2 BGB.

4. Technical Tolerances

In the production of custom packaging, minor deviations in color (CMYK/Pantone), material thickness, and dimensions are technically unavoidable. A deviation of up to +/- 5% in quantity and minor registration or color shifts are commercially acceptable and do not constitute a defect.

5. Delivery and Transfer of Risk

If goods are shipped, the risk of accidental loss or damage transfers to the customer once the shipment is handed over to the carrier (§ 447 BGB). Delivery is limited to transportation to the address provided by the buyer (curbside delivery). Unloading or handover services are not included. Delivery times displayed on the website are estimated and not guaranteed. Packonic is not liable for delays caused by shipping providers or force majeure.

6. Duty to Examine (Inspection)

For all commercial transactions, the buyer must inspect the goods immediately upon receipt in accordance with § 377 HGB. Any defects, shortages, or incorrect deliveries must be reported in writing within 3 working days of receipt. Failure to notify Packonic within this period constitutes acceptance of the goods as delivered. In the case of justified and timely complaints, Packonic may choose between replacement or credit.

7. Execution of the Order

All data must be provided in the file formats specified by Packonic. The customer is solely responsible for the accuracy of the submitted data. Packonic is not obligated to verify customer-provided data unless otherwise agreed in writing.

8. Liability

Packonic is liable without limitation for damages caused by intentional misconduct, gross negligence, or injury to life, body, or health. For minor negligence, Packonic is only liable for the breach of essential contractual obligations (Kardinalpflichten). In such cases, liability is limited to foreseeable, contract-typical damages. Claims for damages must be submitted within four months following written rejection by Packonic.

9. Prices and Payment

All prices displayed on the website are exclusive of VAT. For EU-wide B2B sales, the Reverse Charge mechanism applies upon provision of a valid VAT ID. Payment may be made via bank transfer or credit card or other payment providers offered at the checkout. Production will begin only after Packonic has received payment and final design approval. Packonic reserves the right to correct pricing errors resulting from system errors or currency changes.

10. Labeling and Environmental Compliance

Buyers purchasing products containing plastic must ensure compliance with Directive (EU) 2019/904, including required labeling. Packonic accepts no liability for the buyer's failure to comply with national implementation of environmental or labeling laws in the destination country.

11. Extended Retention of Title (Eigentumsvorbehalt)

Ownership of goods remains with Packonic until full payment of all claims arising from the business relationship has been received. The buyer is entitled to resell the goods in the ordinary course of business. However, the buyer hereby assigns to Packonic all claims against its own customers arising from the resale of these goods as security for Packonic's payment claims.

12. Return and Refund Policy

Custom-printed products are excluded from the right of return once production has started, as they are manufactured to the buyer’s unique specifications. Standard products (non-customized) may be returned within 14 days in original condition. Return shipping costs are the responsibility of the buyer.

13. Jurisdiction and Severability

These Terms are governed by German law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The place of jurisdiction for all disputes shall be the registered domicile of Packonic (Berlin, Deutschland). If any provision of these Terms is found to be invalid or unenforceable, the validity of the remaining provisions shall remain unaffected (Severability Clause).
